Terms of Service

By accessing or using the Alpha Homes Interiors website located at alphahomesinteriors.com (the "Site"), and by engaging with our architectural design, interior design, or stone sourcing services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

These Terms constitute a legally binding agreement between you ("Client," "User," or "you") and Alpha Homes Interiors ("Company," "we," "us," or "our"), a California-based architectural design and luxury stone supply firm.

If you are entering into these Terms on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not access or use our Site or services.

We reserve the right to modify these Terms at any time. Continued use of the Site following any changes constitutes your acceptance of the revised Terms.

Alpha Homes Interiors offers the following professional services:

Architectural Design: Comprehensive residential and commercial architectural design services, including concept development, schematic design, design development, construction documents, and project administration.

Interior Design: Full-scope interior design services including space planning, material specification, furniture selection, lighting design, and project coordination.

Premium Stone Sourcing: Import and supply of luxury natural stone materials including marble, granite, travertine, quartzite, onyx, and rare special stones sourced from Italy, Turkey, Brazil, Iran, Spain, and other regions.

3D Visualization: Photo-realistic architectural and interior rendering services for project visualization and presentation.

Renovation & Remodeling: Project management and coordination services for luxury residential and commercial renovation projects.

Custom Furniture: Custom furniture design and manufacturing through our Foshan, China production partnership.

All services are provided subject to executed project agreements, scope of work documents, and applicable fee schedules.

Website inquiries and consultations do not constitute a binding service contract. A formal project engagement commences only upon:

• ▪Execution of a written Project Agreement or Letter of Agreement by both parties
• ▪Receipt of any applicable retainer or deposit payment as specified in the project agreement

Scope of Work: All project services, deliverables, timelines, and fees are defined in the executed project agreement. Changes to the scope of work require written amendment signed by both parties.

Retainers & Deposits: A non-refundable retainer or deposit may be required to initiate design services or reserve stone materials. Retainer amounts and payment schedules are specified in individual project agreements.

Project Changes: Client-requested modifications to approved designs or specifications may result in additional professional fees. We will notify clients of any additional charges before proceeding.

Third-Party Contractors: Alpha Homes Interiors does not employ construction contractors. We may recommend trusted contractors but are not responsible for their work, pricing, licensing, or insurance. Any agreements with third-party contractors are solely between the client and the contractor.

The following terms apply to all natural stone and material purchases:

Lead Times: Natural stone products are imported internationally and subject to lead times ranging from 4 to 20 weeks depending on origin, availability, and shipping logistics. Lead times provided are estimates only and not guaranteed.

Custom Orders: Special stones, rare semi-precious materials, and custom-fabricated stone elements are non-cancellable and non-refundable once the order is confirmed and production or procurement has commenced.

Natural Variation: All natural stone products exhibit variation in color, veining, pattern, and texture. Such natural variation is inherent to stone and does not constitute a defect. We strongly recommend reviewing physical samples prior to order confirmation.

Quantity & Availability: Stone material quantities are subject to availability from source quarries. We will notify clients of any material shortages or substitutions as soon as practicable.

Returns: Fabricated or custom-cut stone cannot be returned. Standard slab material may be returned within 14 days of delivery in original condition, subject to a 25% restocking fee.

Risk of Loss: Risk of loss or damage to materials passes to the client upon delivery and acceptance at the designated project site.

Design Services Fees: Professional fees for architectural and interior design services are outlined in the executed project agreement and may be structured as fixed fees, hourly rates, or a percentage of construction cost, as agreed.

Payment Schedule: Unless otherwise specified in the project agreement, invoices are due within 30 days of issuance. Overdue balances bear interest at a rate of 1.5% per month (18% per annum).

Stone & Material Payments: Material procurement typically requires a 50% deposit upon order confirmation and the remaining 50% prior to shipment or delivery, as specified in the purchase order.

Disputed Invoices: If you dispute any portion of an invoice, you must notify us in writing within 10 days of receipt, specifying the disputed amount and the basis for the dispute. Undisputed portions remain due and payable on the original terms.

Currency: All fees and prices are quoted in United States Dollars (USD) unless otherwise specified.

Taxes: Client is responsible for all applicable sales taxes, use taxes, import duties, and other governmental charges associated with material purchases.

Our Proprietary Content: All content on the Alpha Homes Interiors website — including but not limited to text, photographs, architectural drawings, design renderings, project portfolios, logos, trademarks, and other materials — is the exclusive intellectual property of Alpha Homes Interiors or its licensors, and is protected by applicable U.S. and international copyright, trademark, and intellectual property laws.

Permitted Use: You are granted a limited, non-exclusive, non-transferable license to access and view our website content for personal, non-commercial purposes only. Any reproduction, distribution, modification, public display, or commercial use of our content without prior written consent is strictly prohibited.

Design Deliverables: Unless otherwise expressly agreed in writing, Alpha Homes Interiors retains ownership of all architectural drawings, design documents, specifications, and intellectual property created during a project engagement. Upon receipt of full and final payment, clients receive a limited license to use these deliverables for the specific project described in the project agreement only.

Client Content: You retain ownership of any materials, images, or content you provide to us. By providing such content, you grant us a limited license to use it solely for the purpose of delivering our services to you.

Website Disclaimer: The Alpha Homes Interiors website and its content are provided on an "as-is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or harmful components.

Professional Services: While we strive for the highest standards, architectural and design services involve professional judgment, and outcomes are subject to numerous variables including regulatory approvals, site conditions, contractor performance, and client preferences. We do not warrant specific outcomes.

Limitation of Liability: To the maximum extent permitted by applicable law, Alpha Homes Interiors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of data, or loss of goodwill, arising out of or in connection with your use of our website or services.

Our total liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to Alpha Homes Interiors in the 12 months preceding the claim.

Nothing in these Terms limits our liability for fraud, gross negligence, or willful misconduct.

In the course of our engagement, both parties may receive confidential and proprietary information. Each party agrees to:

• ▪Hold the other party's confidential information in strict confidence
• ▪Use confidential information only for purposes of performing obligations under the project agreement
• ▪Not disclose confidential information to third parties without prior written consent, except as required by law

For purposes of these Terms, "Confidential Information" means any non-public business, financial, technical, or design information designated as confidential or that a reasonable person would understand to be confidential given the nature and circumstances of its disclosure.

This confidentiality obligation survives termination of the engagement for a period of 3 years.

Client Termination: You may terminate a project engagement by providing written notice to Alpha Homes Interiors. Upon termination, you will be responsible for fees for all services rendered through the termination date, plus reimbursement of any committed third-party expenses. Retainers and deposits are non-refundable.

Company Termination: We reserve the right to terminate or suspend services if: (a) client fails to make required payments within 30 days of due date; (b) client materially breaches the project agreement; (c) continuation of the project would require us to violate applicable laws or professional standards.

Website Access: We reserve the right to terminate your access to our website, without notice, for conduct that we believe violates these Terms, is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Effect of Termination: Upon termination of a project, we will provide client with all work product and materials created and paid for through the termination date in electronic format.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law provisions.

Informal Resolution: Before initiating formal proceedings, the parties agree to attempt to resolve any dispute informally by contacting us at legal@alphahomesinteriors.com. We will attempt to resolve the dispute within 30 days.

Arbitration: Any dispute not resolved informally shall be finally resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with proceedings conducted in Los Angeles County, California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions: Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Venue: For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

Entire Agreement: These Terms, together with any executed project agreements, constitute the entire agreement between you and Alpha Homes Interiors regarding the subject matter hereof and supersede all prior negotiations, representations, and agreements.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, strikes, or governmental actions.
